In December 2006, NASD sanctioned him to pay a $113,035 monetary fine that represented disgorgement of commissions received following allegations that he “engaged in a private placement offering of interest through means of an offering memorandum that was false and misleading. Specifically, among other things, the offering memorandum failed to disclose that the respondent would personally receive substantial commission for all transactions effected and misrepresented the investment philosophy and trading strategy to be employed in the account, as well as attendant risks.” He was suspended for one month.
Rocco Guidicipietro Customer Complaints
He has been the subject of three customer complaints between 2018 and 2023, one of which was denied, according to his CRD report:
August 2022. “Start date approximately September 2017. Allegations: Fraud; Securities Fraud; Violation of the Investment Advisors Act; Breach of Fiduciary Duty; Conversion; Breach of Contract; Civil Conspiracy.” The case is currently pending. The complaint was regarding promissory note losses.
November 2018. “Failure to supervisor. April 2012 through November 2016.” The customer sought $231,758.14 in damages, and the case was settled for $13,000. The complaint was regarding equity OTC.
Pursuant to FINRA Rules, member firms are responsible for supervising a broker’s activities during the time the broker is registered with the firm. Therefore, Alexander Capital, L.P. may be liable for investment or other losses suffered by Rocco Guidicipietro’s customers.
